行政書士開業準備中～英文契約書編13

前回の続きです。

This agreement (hereinafter called the "Agreement"), made and entered into 日付を挿入, by and between 会社名を挿入, a corporation organized and existing under the laws of the State of Delaware, USA, with its principal place of business 住所を挿入, USA (hereinafter called the "Seller") and 会社名を挿入, a corporation organized and existing under the laws of Japan, with its principal place of business 住所を挿入 Japan (hereinafter called the "Buyer"),

まず英文契約書頻出用語です。

①hereon,② hereof,③ hereby

上記の単語は通常見慣れないですよね。英文契約書では頻繁に用いられます。

一般的には、hereを本契約書と読みときます。つまり here=this agreementです。

またhereの後に前置詞がありますのが、それを前に持ってきます。

①はon this agreementで,本契約上に

②はof this agreementで,本契約の

③はby this agreementで,本契約により,と訳します。

①～③以外では、heterto,herein,hereunderなどがあります。

次に今回使われているhereinafterです。これは、以下～と呼ぶなどと訳します。

ある文言を繰り返し述べる場合、定義づけをして、長くなるのを防ぐ場合に使います。

例えば、「東京都～に本店を有する株式会社Ｘ」を繰り返すとくどいですので、「以下売主という」等とします。

 そしてorganized and existing ですが、設立され現存すると訳します。

これもあまり通常の英語では使わないですね。

アメリカ法に基づき、「設立され現存する」法人といった使われ方があります。

上の契約書の上から2段目がこれです。

長くなりそうなので次回にきちんとご説明しますが、

残りの、made and entered into , by and between といった所謂、同義語反復は,まさに英文契約書ならではのものです。

吐いて捨てるほど出てきます(笑)
